Hey everyone, I was reviewing our renewal quote from Microsoft Dynamics and stumbled across a clause that gave me pause. We've been on their platform for about two years now, and the initial contract was fairly standard. This new one, though, has a section titled "Periodic Usage Review and True-Up."

Basically, it says that if our "measured usage" over a 12-month period exceeds the "purchased commitment" by more than 10%, they can invoice us for the overage at list price. It's not just about adding more users—it's about things like API calls, storage, and "engagement events" that can be tricky to track.

Has anyone else encountered this? We run a lot of automated workflows in Market Engage that sync back to Dynamics, and I'm suddenly worried about things like high-frequency contact updates or custom object creation triggering a surprise bill. The "list price" part is especially concerning, as our negotiated per-seat rate is significantly lower.

I'd love to hear if others have navigated this. Did you push back to have the clause removed or capped? Or did you set up internal monitoring to stay under the 10% buffer? It feels like a hidden variable cost in what we thought was a fixed-fee agreement.
