Just had to negotiate my first vendor contract renewal. The original auto-renewal clause was a 60-day notice window *before* the annual term.
Managed to get it changed to a 30-day termination for convenience, effective at any time, with no early termination fee. Prorated refund for prepaid amounts.
Is this as good as it gets? I’ve seen some community posts about “true up” penalties even with termination for convenience. What else should I be watching for in these clauses?

Better check that prorated refund math. Ever see one that only refunds based on their highest per-unit price, not your actual effective rate?
And what if they invoice annually but the 'effective at any time' clause still requires you to eat the next quarter?
