Am I reading this right? They can suspend service for 'any suspected violation'.

Just saw this clause in a vendor's MSA, section on termination. It's not even in the 'Termination for Cause' part, it's buried under 'General Rights'.

They reserve the right to suspend service immediately for "any suspected violation of the Acceptable Use Policy" pending investigation. No notice, no cure period for something that's just *suspected*.

This is a massive operational risk. Think about it:

* Your sales team gets flagged by an algorithm for 'unusual email volume' (maybe a legitimate campaign blast). Service goes dark during a quarter-end push.
* A competitor files a bogus complaint about your content. Account suspended while they 'investigate'.
* Their internal security team gets a vague alert. You're down until your legal talks to their legal.

This isn't about actual breaches. It's about *suspicion*. It turns their AUP into a landmine, because the enforcement trigger is entirely subjective and the penalty is immediate disruption.

I always look for "immediate suspension for *material* breaches that cause *severe* harm" with a requirement for them to provide *detailed* reasons upon action. This clause is so broad it's basically a get-out-of-SLA-free card for them.

Has anyone successfully negotiated this out? What did you replace it with? I'm not letting a vendor's suspicion become my downtime event.
